Form 8996: line-by-line guide and 90% test calculator

Form 8996 is filed by a corporation or partnership to self-certify as a Qualified Opportunity Fund (QOF) and, every year after, to show it met the 90% investment standard or to figure the penalty if it didn't (Instructions for Form 8996, Rev. Dec. 2024). Investors don't file it; they file Form 8997.

Line by line

Part I: general information and certification

Complete Part I every year and attach the form to the fund's return (Form 1120 or 1065, by its due date including extensions). Line 3 asks whether this is the first year the entity is certifying as a QOF; if "Yes," line 4 gives the first month it chooses to be a QOF. If you list no month, the 6-month period starts on the first day of the tax year (Form 8996 instructions, Part I, lines 3–4).

Part II: investment standard (lines 7–12)

Values come from the fund's applicable financial statement if it has one, otherwise its cost (purchased property) or the present value of lease payments (leased property) (instructions, Value determination; Treas. Reg. §1.1400Z2(d)-1). Newly contributed cash can be left out of a test if it came in for QOF equity within 6 months before the test and was held in cash, cash equivalents or short-term debt from the fifth business day after receipt (instructions, Cash not immediately invested).

Part III: did the fund pass? (lines 13–15)

Line 13 adds lines 9 and 12. Line 14 divides line 13 by 2, or uses line 13 as is if lines 7–9 are blank. Line 15 is "Yes" if the fund met the 90% standard; "No" sends you to Part IV (instructions, Part III). The 90% test averages the two semiannual tests under IRC §1400Z-2(d)(1).

Part IV: penalty

For each month the fund fails, the penalty is the shortfall (90% of aggregate assets minus QOZ property) times the underpayment rate under §6621(a)(2) (§1400Z-2(f)(1)). The form divides the annual rate by 12 (line 7). No penalty applies if the failure is due to reasonable cause (§1400Z-2(f)(3)). The IRS sends a notice with the amount and the relief process.

Parts V–VII

Whether or not the fund passed, it completes Parts V–VII: directly owned or leased QOZ business property by 11-digit tract, QOZ stock and partnership interests, and the totals feeding lines 7 and 10 (instructions, Parts V–VII).

OZ 2.0

Under the 2025 law (P.L. 119-21), the program becomes permanent with new zones from January 1, 2027 (P.L. 119-21, §70421; IRS Notice 2026-55). The current (Dec. 2024) Form 8996 predates those changes; check IRS.gov/Form8996 for a revision before you file for 2027.

FAQ

Who files Form 8996?

A corporation or partnership that self-certifies as a Qualified Opportunity Fund files it with its return every year: to certify, and then to report whether it met the 90% investment standard or to figure the penalty (Instructions for Form 8996).

How is the 90% asset test calculated on Form 8996?

Divide QOZ property by total assets on the last day of the first 6-month period (line 9) and on the last day of the tax year (line 12), add them (line 13) and divide by 2 (line 14). The fund passes at 0.90 or more. In a short first year with no first test, line 14 is line 12.

What is the penalty for failing the 90% test?

For each month, 90% of aggregate assets minus QOZ property, times the IRC §6621(a)(2) underpayment rate (divided by 12 on the form). No penalty applies if the failure is due to reasonable cause (IRC §1400Z-2(f)).

Can new investor cash be excluded from the 90% test?

Yes, if it was received for QOF stock or partnership interests no more than 6 months before the test and held in cash, cash equivalents or debt of 18 months or less from the fifth business day after receipt (Instructions for Form 8996).
